Full Job Description

Our Finance & Restructuring
practice group consists of Banking & Finance (including Real Estate Finance) and Restructuring & Insolvency. This role requires 1-day WFH, 4 days in the office.

The successful applicant will primarily assist the Banking & Finance team, who focus on complex, cross-border finance transactions rather than volume financing work in the following core areas:

  • general banking;

  • acquisition finance;

  • leveraged finance;

  • real estate finance;

  • fund finance;

  • structured and asset finance; and

  • derivatives.


  • In almost all these areas, we have developed our practice to represent all key stakeholders, thereby ensuring that we have a balance of expertise and experience within the team.

    This is an entrepreneurial team working together closely on a broad range of fast-paced finance transactions. The team has a strong focus on training and development of juniors (including paralegals) and looks to provide high levels of responsibility from an early stage.

    Responsibilities:
    Broadly, the role will involve working closely with the team's fee earners in the following areas:

    1. Transactional assistance - The primary role will be to assist team members in relation to a variety of finance transactions including on:
  • document preparation (from sense checking and proof-reading documents to drafting certain conditions precedent documents such as board minutes, shareholder resolutions and formalities certificates);

  • assisting with the production of revised drafts of finance documents in accordance with instructions from a fee earner;

  • assisting with transaction management and in particular the conditions precedent process (including collating documents and tracking the status of all conditions precedent);

  • managing the signing and completion logistics for financing transactions (including drafting completion agendas and signing checklists, liaising with signatories and arranging for execution of finance documents);

  • liaising with local counsel/overseas lawyers from instruction to invoicing, in relation to conditions precedent, local law security arrangements and completion;

  • ordering and reviewing company searches and completing company search reports;

  • assisting with Companies House filings, including the registration of security interests;

  • preparing post-completion documentation bibles; and

  • assisting with document and file management.


  • 2. Other support - In addition, but secondary to the transactional assistance outlined above, the role will involve supporting the team more generally, including:
  • assisting fee earners and/or professional support lawyers with the production and ongoing management of precedent documents, know-how and training;

  • assisting with client on-boarding procedures, including client due diligence and KYC;

  • assisting with billing procedures, working with fee earners and our billing co-ordinators to ensure that matters are billed accurately and on time; and

  • producing pitch documents and marketing materials, working with fee earners and our marketing team.

  • Qualifications:
  • Undergraduate degree achieving a minimum of a 2:1 or equivalent.

  • Experience working as a paralegal in a city law firm within a fast-paced transactional practice (ideally banking and finance) would be beneficial, but not essential.
