Full Job Description

As an experienced Assistant Company Secretary, you'll already know that the scope and focus of your role has changed significantly in recent years and at NorthStandard we are no stranger to change. Following a merger, a team re-structure and a promotion, we are now looking for someone to join our secretarial team based in Newcastle.

The key focus of your new role will be to provide support and structure to board/management committees, and whilst working collaboratively with our audit, risk and investment teams, you'll have the opportunity to shape our future activity at the club; simultaneously being comfortable with providing exceptional executive support and challenging current practise.

What will you be doing?

Your main duties will include but are not limited to:

  • Meeting Planning - Support the maintenance and communication of the Group's rolling meeting plan. Collate and distribute meeting packs. Ensure that agendas and papers for meetings are circulated in a timely manner.

  • Meeting Delivery - Attend and oversee the provision of both physical and virtual meetings, Ensure that all agenda items required and meeting actions are appropriately captured, tracked and actioned. Maintain up-to-date records of attendance at meetings.

  • Corporate Administration - Provide support in relation to corporate administration and company filings and other documents.

  • Board Performance - Assist the Group Company Secretary in relation to annual Board performance appraisals, support with Director, Induction, Onboarding and Fitness & Propriety Assessments, and Fitness & Propriety Assessments.

  • Conflicts of Interest - Support in relation to the assessment, recording and monitoring of Directors' interests and the management of actual or potential conflicts of interest

  • Information Requests - Provide support to the Group Company Secretary in responding to information requests from the Group's internal and external auditors.

  • Communication - Develop and maintain relationships with key stakeholders within the business.

    Minimum of 3 years, 'hands on' experience providing end to end company secretarial support to Board level governance forums.

  • Excellent drafting and organisational skills.

  • Be flexible and adaptable - willing to learn on the job, comfortable working across different systems and processes and adapting your approach to tasks in order to achieve the best outcomes under different circumstances.

  • Experience of collaborating with and influencing colleagues and other stakeholders at all levels of the organisation and across geographical and cultural boundaries.

  • Experience of working effectively under pressure and proactively managing your own workload to meet deadlines in a busy environment.

  • Comfortable with change, bringing a positive and solutions focused outlook when overcoming challenges in the course of your work., Ideally you will hold or be working toward relevant qualifications in corporate governance (e.g. CGI)

  • Experience of corporate governance within a regulated insurance or other financial services sector or non-profit organisation.

  • Experience of supporting audit, risk and investment committees would be useful.
